SECTION 1: TERMS OF SERVICE / USE AGREEMENT

Welcome to American Digital Force (“Company,” “we,” “us,” or “our”), accessible via americandigitalforce.com and its subdomains (the “Website”). By accessing or using our Website, consulting services, private server deployments (n8n/Docker), AI systems, or data infrastructure, you (“Client,” “User”) agree to be bound by these Terms of Service.

1.1 Scope of Services & Infrastructure

American Digital Force provides strategic business automation architecture, private workflow hosting, autonomous AI voice/chat agent setup, and digital asset engineering.

Strategist Role: Company acts strictly as an automation strategist and operational architect. Company is not an internal technical employee, nor does it provide ongoing custom code maintenance outside explicitly signed Statements of Work (SOW).

Third-Party Platforms: Our infrastructure orchestrates workflows across third-party applications (including but not limited to n8n, Webflow, Twin.so, DigitalOcean, Retell AI, and various CRMs). Clients must maintain their own active accounts, licensing, and compliance with those respective platforms. Company is not liable for service disruptions, API updates, or billing changes originating from third parties.

1.2 Data Scraping and Asset Extraction

If your service package or SOW includes the deployment of data scraping, lead extraction tools, or market-specific public records compilation (e.g., real estate or local contractor market data), Client acknowledges that:

  • Data is compiled strictly from publicly accessible records and open web directories.
  • Client assumes 100% responsibility for how extracted data, lead lists, or public records are utilized in their marketing, sales, or outreach pipelines.

1.3 Fee Structures, Retainers, and GCI Licensing

Setup & Implementation Fees: All upfront implementation, server provisioning, and custom architecture build fees are non-refundable once work commences.

Monthly Management Retainers: Management retainers are billed net-30 or on a recurring subscription basis depending on the tier selected. Failure to clear management balances within 5 days of the due date results in immediate suspension of private n8n/Docker server instances and AI routing.

Technology Licensing Fees (GCI Model): For specific performance partnerships (such as the Home Hub Utility framework), Client agrees to compensate the Company via a Technology Licensing Fee calculated as a fixed percentage (e.g., 20% or 40%) of the Gross Commission Income (GCI) on closed transactions managed or generated by Company assets. Detailed reporting of closed files must be provided to the Company within 48 hours of transaction closing.

1.4 Limitation of Liability & Governing Law

To the maximum extent permitted by law, American Digital Force shall not be held liable for any indirect, incidental, special, exemplary, or consequential damages, including loss of profits, data, or business opportunities arising from automated system downtime, server drops, API deprecations, or AI conversational errors.

These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action arising out of or relating to these Terms shall be filed exclusively in the state or federal courts located in Harris County, Texas.

SECTION 2: COMPLIANCE, DISCLOSURE, AND TCPA POLICY

Because American Digital Force builds, deploys, and orchestrates autonomous AI voice agents, text-back systems, and multi-channel lead pipelines, strict regulatory compliance is mandatory.

2.1 TCPA & SMS Compliance (Telephone Consumer Protection Act)

Client explicitly warrants that any lead data, phone numbers, or contact lists imported into systems built or managed by American Digital Force have been collected with appropriate consumer consent.

Prior Express Written Consent: Client is solely responsible for ensuring that all web funnels, lead forms, and landing pages capture explicit "Prior Express Written Consent" via compliant checkboxes before any automated SMS, ringless voicemail, or AI-driven voice calls are initiated.

Opt-Out Mechanics: All SMS automation sequences deployed by Company will include standard opt-out keyword processing (e.g., "Reply STOP to opt out"). Client agrees not to alter, bypass, or delete automated opt-out safety workflows built into their n8n pipelines or CRMs.

2.2 Artificial Intelligence (AI) Voice & Chat Disclosures

In accordance with emerging transparency regulations and state/federal consumer protections regarding synthetic media and automated communications:

Identification Disclosure: When deploying autonomous AI voice assistants or interactive conversational bots to interface with consumers, the system must immediately identify itself as an "AI Assistant," "Automated Virtual Assistant," or a digital entity upon initiating a call or chat interaction if requested or legally mandated by the jurisdiction.

No Human Impersonation: Client agrees not to configure or instruct the Company to configure AI agents to falsely claim they are a live human being if a consumer asks for verification.

SECTION 3: PRIVACY POLICY

American Digital Force values your privacy and the security of your operational data. This Privacy Policy outlines how we collect, use, and protect information when you interact with our website or utilize our private automation environments.

3.1 Information We Collect

Account and Contact Information: We collect your name, business name, professional email address (such as hello@americandigitalforce.com), phone number, and billing details when you engage our agency services or fill out website forms.

System Integration Data: To provision custom Docker containers, virtual private servers, and n8n webhooks, we may securely process API keys, webhook URLs, and CRM access tokens provided explicitly by you or your delegated freelancers under non-disclosure terms.

3.2 How We Use Your Information

We use the collected data to:

  • Provision, manage, and maintain your private automation infrastructure and custom web applications.
  • Execute database reactivation campaigns, lead qualification flows, or voice integrations as contracted.
  • Send administrative updates, technical alerts, or service-related announcements.

3.3 Data Isolation and Secure Hosting

Private Instances: Unlike shared multi-tenant SaaS tools, your operational automation data processed via our advanced tiers is isolated inside independent Docker environments on private virtual servers.

No Data Selling: American Digital Force will never sell, rent, or trade your operational business data, lead lists, CRM records, or performance data to any third-party marketing entities.
